Terms of Service

These Terms of Service ("Terms") govern your access to and use of PelaSync (the "Service"). By creating an account or otherwise using the Service, you agree to these Terms. If you are using PelaSync on behalf of a practice or organization, you represent that you have authority to bind that entity.

1. The Service

PelaSync lets practitioners collect client reflections through SMS journaling and review them in a simple dashboard. The Service may include optional features such as automated summaries and pattern highlights. We may add, change, or remove features over time.

2. Not a medical or emergency service

PelaSync is a workflow and note-keeping tool. It is not a medical device, does not provide medical, clinical, legal, or professional advice, and is not for emergencies. If you or someone else is in crisis or needs urgent help, contact your local emergency services. Practitioners remain solely responsible for the care and advice they provide to their clients.

3. Accounts and eligibility

• You must be at least 18 years old and able to form a binding contract to use the Service.
• You are responsible for the accuracy of your account information and for keeping your credentials secure.
• You are responsible for all activity that occurs under your account.

4. Practitioner responsibilities

• Consent. You must obtain each client's informed consent before enrolling them and before sending them text messages through the Service.
• Lawful use. You are responsible for complying with the laws and professional obligations that apply to your practice, including those governing client records and communications.
• Appropriate use. You will use client entries only for legitimate purposes related to your work with that client.

5. Client messaging

Clients receive and send messages only after opting in. Message and data rates may apply. Clients may reply STOP at any time to end messaging, or HELP for assistance. We may deliver messages through third-party carriers and cannot guarantee the timing or delivery of any individual message.

6. Acceptable use

You agree not to:

• Use the Service for unlawful, harmful, deceptive, or abusive purposes.
• Send unsolicited messages or enroll anyone without their consent.
• Attempt to disrupt, reverse engineer, or gain unauthorized access to the Service or its systems.
• Upload malware or use the Service to infringe the rights of others.

7. Your content

Practitioners and their clients retain ownership of the content they submit ("Your Content"). You grant PelaSync a limited license to host, process, and transmit Your Content solely to operate and improve the Service. You are responsible for having the rights and permissions necessary to submit Your Content.

8. Fees

If a plan for the Service requires payment, the applicable fees and billing terms will be presented to you before you subscribe. Unless stated otherwise, fees are non-refundable except where required by law.

9. Third-party services

The Service relies on third-party providers (for example, SMS carriers and hosting). Their availability and terms are outside our control, and we are not responsible for their acts or omissions.

10. Disclaimers

The Service is provided "as is" and "as available," without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure.

11. Limitation of liability

To the maximum extent permitted by law, PelaSync will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data, profits, or goodwill, arising from or related to your use of the Service. Our total liability for any claim will not exceed the amount you paid us for the Service in the twelve months before the claim.

12. Termination

You may stop using the Service at any time. We may suspend or terminate access if you violate these Terms or if necessary to protect the Service or its users. Upon termination, the provisions of these Terms that by their nature should survive will continue to apply.

13. Changes to these Terms

We may update these Terms from time to time. When we make material changes, we will update the "Last updated" date above and, where appropriate, provide additional notice. Continued use of the Service after changes take effect means you accept the updated Terms.
